Address: Unit 111331, Ground Floor, 300 Bloomsbury street, London, WC1B 3QJ, United
Kingdom (hereafter sometimes referred to as "Compliseo", “we”, "us", or "our"). By using the
compliseo.com website (the "Website") you agree to be bound by these terms and conditions (this
"Agreement"). This Agreement is subject to change by Compliseo at any time, effective upon
posting on the Website, and your use of the Service after such posting will constitute acceptance by
you of such changes. These terms of service govern the relationship between you and Compliseo.
IF YOU OBJECT TO ANYTHING IN THIS AGREEMENT OR THE COMPLISEO
PRIVACY POLICY OR REFUND POLICY, DO NOT USE THE WEBSITE OR THE
SERVICE.
1.SERVICE DECRIPTION.
Compliseo provides users with access to search engine optimization tools, link analysis tools, site
profile services, search analytics, blogs, user-generated-content, personalized content, and other
resources (the "Service"). You also understand that the Service may include certain communications
from Compliseo, such as service announcements and administrative messages. List of the paid
Services includes, but not limited to: websites’ search engine positions tracking in Google and Bing;
forms filling and submitting; captcha solving; articles writing and rewriting made by AI and human
writers; backlinks tracking. Unless explicitly stated otherwise, any new features that augment or
enhance the current Service, including the release of new Compliseo properties, shall be subject to
this Agreement.
2.CHANGES TO TERMS OF SERVICE.
We reserve the right to change the terms or specifications of any services at our discretion, without
prior written notice to users, by replacing the text of this Agreement or describing tariffs on the
website or by written notification. Any changes will take place immediately unless the opposite is
indicated in the changes notification. If any change is unacceptable to you, you need to discontinue
the relationship with Compliseo. Your continued services usage after our changes notification will
mean acceptance of the Agreement in a new edition.
3.THE RIGHT TO USE THE SERVICES.
By this provision, we allow using services and the website solely as stated in this Agreement and in
the manner asserted on the website. In the event of any conflict between the terms of this
Agreement and the website, the terms of this Agreement shall prevail. Any service usage not
provided in this Agreement or in violation of any terms of this agreement will result in the
suspension or cancellation of the license to use the service at our discretion.
4.SUSPENSION OR TERMINATION OF THE SERVICES PROVISION.
Notwithstanding what is said or implied, we may suspend or terminate any or all of the services at
any time, without derogation from our other rights provided for in this Agreement. The suspension
takes effect immediately upon the issuance of a written notification. Such suspension or termination
may also be applied, if necessary, in specific legal systems, business directions or otherwise, or for a
specific client or group of users. Notwithstanding the foregoing, solely out of respect for users of
paid services, where practicable, backups of data up to thirty (30) days after notice of the
suspension or termination of their account can be maintained for such users.
5.THIRD-PARTY SERVICES.
We reserve the right to use the services of third parties, including but not limited to hosting
providers, data processing services, information, communication and analytical services, Internet
advertising on various sites, advertising services. In the case of any of the above services is
provided to third parties, the user may be associated with such third parties with special conditions.
We are not responsible for the services provided by third parties.
6.USE OF SERVICES.
You can use the service after registering your user account. However, you can not use the services,
if you have not reached the age for contracting or if you do not have the authority to accept this
agreement.
7.USER’S REPRESENTATIONS.
By using the services, you represent and guarantee that (A) all the registration information you
provide is accurate and truthful; (B) you will maintain the accuracy of such information; (C) You
are at least 18 years old and you have the opportunity and authority to enter into this Agreement;
And (D) your use of the services does not violate any other laws or regulations.
8.ACCOUNT REGISTRATION.
To register as a user, you must create an account on the site, after the required registration procedure
and instructions. In order to have access to services, you will need to provide payment details. As a
registered user, you agree to notify us of any changes concerning your payment details immediately.
You must provide your legal full name, a valid email address, and any other information requested
in order to complete registration process. Your login may only be used by one person - a single
login shared by multiple people is not permitted.
This website's content is intended for adults and we will not knowingly collect personal information
from children. If you are a parent or legal guardian of a child who you believe has submitted
personal information to this site, please contact us immediately.
You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
9.LOGIN AND PASSWORD.
You are responsible for maintaining the information confidentiality necessary to access and work
with your user account, including your login, password or security question or phrase, as
appropriate. Compliseo cannot and will not be liable for any loss or damage from your failure to
comply with this security obligation.
10.USER’S OBLIGATIONS.
You are responsible for all the following actions regarding the usage of the services: maintaining the
security of your account and all the actions in your account; maintaining detailed information about
the account, including the email address and payment information and updating such information as
soon as it has been changed; access to services as well as payments to third parties (for example, an
Internet service provider or airtime); purchase of equipment required for access to services.
You must not modify, adapt or hack the Service or modify another website so as to falsely imply
that it is associated with the Service or Compliseo. You may not reverse engineer or reuse source
code that is in public view. This includes any and all JavaScript. The code is Compliseo's copyright.
You shall not transmit any worms or viruses or any code of a destructive nature. You agree not to
modify the Software in any manner or form, nor to use modified versions of the Software, including
(without limitation) for the purpose of obtaining unauthorized access to the Service.
You agree not to access the Service by any means other than through the interface that is provided
by Compliseo for use in accessing the Service. You acknowledge that the Service is not intended for
permanent storage and agree not to use the Service for archiving or back-up purposes.
11.PROHIBITED TO USE.
You are strictly prohibited from using the services in any of the following ways or for any of the
following purposes.
You can not use the services for any illegal or unauthorized purposes, including with infringement
of copyrights or other laws applicable in or applicable to you. You can not use the services to the
detriment of the services. You will not download or distribute viruses or any other destructive
programs. The restriction in this section applies to any activity that interferes with normal operation
or attempts to interfere with the normal operation of the services, including by hacking, deleting,
increasing or changing the usage limit of services.
You can not rent, resell and sub-license the services of our website without our prior
permission(except for the cases authorized by your paid subscription plan), copy, distribute
(including by framing any of the services on the website), modify, improve translate, copy and sell.
Do not decompile, disassemble, or otherwise attempt to obtain the source code, remove, hide or
modify copyright information. Do not make changes to another site so that other users falsely take it
as payment for the services of the site https://compliseo.com/; Do not give access to third parties.
You agree not to transmit more than 10 Requests in 1 second from one unique IP address, no more
than 10 simultaneous requests from 1 user, or no more than 2 simultaneous export requests.
All automatic requests are denied.
12.SERVICE FEES.
The access to Service tools is granted on prepaid, pay-as-you-go basis. Each Service tool has its
own tariff. All tool tariffs are published in users account. Compliseo may provide to User with
discounts based on Users spendings per month. To start using Service tools you should choose one
of Service packages offered and pay for it.
13.PAYMENTS METHODS.
Service Fees can be paid by your choice with a credit card or other payment method available on
the site. All prepayment methods and tariffs will be reflected in the your User Account.
14.CHANGES IN TARIFFS.
We can change the tariffs and/or introduce new fees in addition to the existing fees at our discretion,
notifying the users within thirty (30) days in advance. Notwithstanding the foregoing, we may
increase the fees immediately and with simultaneous notification of the event in cases of: (a) any
changes in services or fees from our third-party service providers; (b) delays and / or other problems
due to the users failure to fulfill the obligations or upon changing the users request to change the
access to the service for any reason.
15.ADDITIONAL CHARGES.
Any additional taxes, fees, and duties that can be imposed in connection with any payments in a
prescribed manner are paid additionally at the expense of users.
16.AFFILATE PROGRAM.
Compliseo may, from time to time, offer to its Users the opportunity to earn rewards by referring
other businesses or individuals that are not a Compliseo User (each a “New Customer”) to use
Compliseo Services, and to receive an opportunity to earn a reward as well (the “Program”).
Compliseo reserves the right to terminate the Program at any time for any reason.
To those Affiliates who refer these New Customers, Compliseo shall pay up to 25% commission
reward from New Customers spendings. Payouts of commission rewards shall be made by Paypal,
AdvCash and other electronic systems. Affiliates receive their links which they may send to
potential New Customers. When New Customer spends funds by using Compliseo Service, part of
the spendings goes to affiliate balance. Affiliates shall be entitled to request a payout of their
commission rewards only when the amount of payout is equal to or more than $50.
Affiliates are not allowed to run Google AdWords campaigns for any keywords (brand or non-brand
without exception) to advertise any webpages that are purposed for promoting Compliseo and
contain affiliate links, as well as any pages that are purposed to re-direct visitors to pages that
promote Compliseo and contain affiliate links.
Affiliates are not be permitted to use any forms of cookie stuffing or any other malicious strategies
to earn unfair commission payouts. Only sales resulting from regular marketing methods on
affiliate's website shall be permitted.
Affiliates are not allowed to use variations of Compliseo trademark as part of their domain name.
Self-referrals are not allowed and considered as a violation of Compliseo Affiliate Program terms.
Do not send emails to lists that you do not have permission to send to. This will be considered as
spam and we will terminate your participation in Compliseo Affiliate Program at the first offense of
spamming.
Compliseo reserves the right to remove any affiliates and/or withhold commission payouts at their
own discretion based on affiliate behavior and compliance with these policies.
Participant may elect to participate or not participate in the Program at Participant’s discretion. By
participating in the Program, Participant agrees to use the Program in the manner specified in these
terms and conditions. If a User or Potential Customer does not agree to these terms and conditions
in their entirety they will not be authorized to participate in the Program. Participants may not
participate in the Program where doing so would be prohibited by any applicable law or regulations.
In case the Program gets closed in the future, the discount links will no longer work.
17.IP RIGHTS OWNERSHIP.
The user accepts and agrees that all rights, title, and interest, any and all intellectual property rights
of all kinds, including without limitation, patents, copyrights, trademarks, databases of rights, as
well as personal non-property rights , know-how and trade secrets, any code or software (SDK, API,
etc.) that can be provided to users or for use under this Agreement, remain exclusively on our
property, the property of Compliseo or its partners.
Except for that information which is in the public domain or for which you have been given written
permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any
such proprietary information. You may not post, distribute, or reproduce in any way any
copyrighted material, trademarks, or other proprietary information without obtaining the prior
written consent of the owner of such proprietary rights.
Except as expressly authorized by Compliseo, you agree not to reproduce, duplicate, copy, sell,
trade, resell, modify, create derivative works, or exploit for any commercial purposes, any portion
of the Service or the Software, use of the Service, or access to the Service or computer code that
powers the Service (hereafter sometimes "Software").
Use of information sourced or derived from the service. The information on the Compliseo site is
provided on the understanding that it will be used for research, such as the investigation of
techniques used to understand how to optimize your own site or sites of your clients.
The information may not be used to engage in "black hat" SEO, specifically spamming of any kind.
The information may only be obtained by using authorized methods.
Users are authorized to access our services using the methods described on our site - specifically
when using a mainstream, standards compliant browser.
Users should not attempt to take advantage of any feature that a reasonable person would consider
an obvious omission or error on the site.
Users may not attempt to bypass any functionality or directly access features site directly by using
custom http ( or other ) calls, or attempt to manipulate the site, or access it in a manner other than in
a way in which a reasonable person would consider normal permitted use of a website.
Users are not permitted to query the Compliseo database or servers using any automated tools
without getting prior written permission from us to do so. An exception is granted to Search
engines, who may use automated tools to crawl our site so long as they obey robots.txt commands.
The Service provided by Compliseo is to be used for internal purposes only. You are not allowed to
create any derivative works or resell data that use our information without prior written permission.
If you are buying information on behalf of your client, then your client is also bound by these
conditions. If in doubt please contact us to confirm whether the use of data that you plan is
acceptable or not.
Should the intended use of the data not be expressed within these terms and conditions it is the
responsibility of the client to contact Compliseo for approval prior to any use of said data.
It is Compliseo's policy to liberally grant permission to anyone interested in re-publishing our
content, on the condition that you give Compliseo written credit and accurately link back to the
original Compliseo post.
18.TRADEMARKS.
Signs, graphics, icons, corporate identity, names and logos used or displayed on or through the
website are our property or the property of its owners. The user is not entitled to use the meta tags
or any other form of “hidden text”, using any of the above trademarks, corporate identity and/or
service marks without our prior permission. The user accepts and agrees that he/she should not
question the ownership of the signs on the site for any reason.
19.TERM.
This Agreement will remain in full force and effect while you use the Service.
20.TERMINATION OF USE.
Any party may terminate this agreement at any time at its discretion with written notification.
The Compliseo reserves the right to disable any user account due to abusive or fraudulent activities,
for failure to comply with this Agreement, or for any other reason at its discretion.
21.CANCELLATION OF REGISTRATION.
You can delete the account at any time. Please note that this will delete all of your data and
information stored on shared servers, and Compliseo will not be liable for such loss of data. All
expenses amended before the cancellation of registration will not be reimbursed.
22.CONSEQUENCES OF TERMINATION.
Upon termination of this Agreement, all user rights regarding the use of the Site or services stop
immediately.
If Compliseo terminates Service because you have breached this Agreement, you will not be
entitled to any refund. All decisions regarding the termination of accounts shall be made in the sole
discretion of Compliseo. Compliseo is not required, and may be prohibited, from disclosing a
reason for the termination of your account. Even after Service is terminated, this Agreement will
remain in effect. All terms that by their nature may survive termination of this Agreement shall be
deemed to survive such termination. Such termination of the Service will result in the deactivation
or deletion of your Account or your access to your Account, and the forfeiture and relinquishment
of all Content in your Account. Compliseo reserves the right to refuse service to anyone for any
reason at any time.
23.DISCLAIMER OF RESPONSIBILITY.
Except for cases prohibited by the law, the Services and the Site are provided “just as it is” and we
disclaim any warranties and conditions of any kind, express or implied, including warranties or
conditions of merchantability, suitability for a particular purpose, ownership, accuracy, and security.
We do not give any guarantees that the services or the Site (a) will meet your requirements; (b) will
be provided in a timely manner, securely or on an error-free basis; (c) will be accurate, reliable, with
no viruses or other malicious code. We do not give any warranties or representations regarding the
accuracy or completeness of the content on any sites linked to the website https://compliseo.com/.
Compliseo cannot guarantee and does not promise any specific results from the use of the Website
and/or Service. You agree that you must evaluate, and bear all risks associated with, the use of any
Website content and Services, including any reliance on the accuracy, completeness, or usefulness
of such content. In this regard, you acknowledge that you may not rely on any content created by
Compliseo or submitted to Compliseo, including without limitation information on the backlink or
ranking reports, and all other parts of the Service.
24.LIMITATION OF LIABILITY.
Except in jurisdictions where such provisions are restricted, in no event will Compliseo be liable to
you or any third person for any direct, indirect, consequential, exemplary, incidental, special or
punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data or
other intangible losses (even if Compliseo has been advised of the possibility of such damages),
resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of
substitute goods and services resulting from your inability to access or obtain any goods, data,
information or services through or from the Service; (iii) unauthorized access to or alteration of
your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any
content posted on the Website or transmitted to Registrants or Members; or (vi) any inaccurate or
out-of-date content produced by the tools or published in the guides or blog, or Website; or (vii) any
other matter relating to the Service. Notwithstanding any provision to the contrary, Compliseo's
liability to you for any cause whatsoever, and regardless of the form of the action, will at all times
be limited to the amount paid, if any, by you to Compliseo in the twelve (12) months prior to the
claimed injury or damage.
You agree to indemnify and hold Compliseo, its subsidiaries, affiliates, officers, agents, and other
partners and employees, harmless from any loss, liability, claim, or demand, including reasonable
attorneys' fees, made by any third party due to or arising out of your use of the Service in violation
of this Agreement and/or arising from a breach of this Agreement and/or any breach of your
representations and warranties and/or your negligent or willful acts, and/or the violation by you of
Compliseo's or any third party's rights, including without limitation privacy rights, other property
rights, trade secret, proprietary information, trademark, copyright, or patent rights, and claims for
libel slander, or unfair trade practices in connection with the use or operation of the Service. You
obligation to indemnify will survive the expiration or termination of this Agreement by either party
for any reason.
25.THIRD-PARTY PRODUCTS AND SERVICES.
Certain content, products, and services available via the Service may include materials from third
parties. In addition, Compliseo may provide links to certain third-party Websites. You acknowledge
and agree that Compliseo is not responsible for examining or evaluating the content or accuracy of
any such third-party material or Websites. Links to other Websites are provided solely as a
convenience to you. Because Compliseo has no control over such sites and resources, you
acknowledge and agree that Compliseo is not responsible for the availability of such external sites
or resources, and does not endorse and is not responsible or liable for any Content, advertising,
products or other materials on or available from such sites or resources. You agree that you will not
use any third-party materials in a manner that would infringe or violate the rights of any other party,
and that Compliseo is not in any way responsible for any such use by you.
26.COMPLIANCE WITH LOCAL LAWS.
We do not give any guarantees that the services or the site are suitable and accessible for use in all
areas. Those who use services or a site from countries that prohibit such usage, do it on their own
and are responsible for compliance with local laws.
27.ASSIGNABILITY.
This agreement cannot be changed, assigned, transferred without our prior written approval, but can
be transferred to us without limitations. Any transfer in violation of the above provisions must be
declared invalid and is the basis for the immediate termination of the User account. In view of the
above provision, this Agreement shall be obligatory and act in the interests of the parties and their
respective successors and assignees.
28.FORCE MAJEURE.
We are not responsible for the failure or delay in meeting our obligations arising from any condition
beyond our reasonable control, including but not limited to the use of equipment or services to third
parties, communication failure, government action, war, terrorist acts, earthquakes, fire, flooding or
other natural disasters, working conditions, power supply failures, and Internet connections.
29.JURISDICTION.
If there is any dispute arising out of the Website and/or the Service, by using the Website, you
expressly agree that any such dispute shall be governed by the laws of England and Wales, without
regard to its conflict of laws provisions, and you expressly agree and consent to the exclusive
jurisdiction of the courts of England and Wales, for the resolution of any such dispute.
30.ELECTRONIC NOTIFICATIONS.
You agree to receive communications from us electronically. Electronic notifications will be sent to
your e-mail address that you used for registration purposes, as it can be subsequently changed by
you in your account settings or by written notification. All communications in electronic form will
be considered “in writing” and are considered to be received on the day of mailing. We reserve the
right, but not the obligation to provide communication in paper format.
31.LANGUAGE.
This contract is in English. The service is provided in English and its translations into other
languages may contain inaccuracies, for which we do not bear any responsibility; We suggest using
the English version and using other languages is at your own peril and risk. You also agree that all
communications are conducted with us in English.
32.SEVERABILITY.
If any part of provision this Agreement is deemed unlawful, void or for any reason unenforceable,
then that provision shall be deemed to be severable from this Agreement and shall not affect the
validity and enforceability of any of the remaining provisions of the Agreement.
33.NO WAIVER.
Compliseo’s failure to enforce any right or provision in this agreement will not constitute a waiver
of such right or provision unless acknowledged and agreed to by Compliseo in writing. Except as
expressly set forth in this Agreement, the exercise by either party of any of its remedies under this
agreement will be without prejudice to its other remedies under this agreement or otherwise
permitted under law.
34.CONFIDENTIALITY.
“Confidential Information” means all the information provided by one party to the other in
connection with this Agreement where such information is identified as confidential or ought
reasonably be considered to be confidential based on its context, nature or the manner of its
disclosure, but excluding:
information that is in the public domain other than by a breach of this Agreement;
information developed independently by a third party.
A party must not, without the prior written consent of the other party, use or disclose the other
party’s Confidential Information unless expressly permitted by this Agreement or required to do so
by law or regulatory authority.
A party may:
use the Confidential Information of the other party solely for the purposes of complying
with its obligations and exercising its rights under this Agreement; and
disclose the Confidential Information to its employees or advisers to the extent necessary for
them to know the information for the purposes related to this Agreement but only if
reasonable steps are taken to ensure that the confidentiality of the information is retained.
35. PRIVACY POLICY.
Any personal information Compliseo collects about its users will be processed and stored in
accordance with Privacy Policy published on our Website.
Please see our complete Privacy Policy, which is incorporated into this Agreement. Further, you
acknowledge, consent and agree that Compliseo may access, preserve and disclose your account
information and content if required to do so by law or in a good faith belief that such access
preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce this
Agreement; (c) respond to claims that any Content violates the rights of third parties; (d) respond to
your requests for customer service; or (e) protect the rights, property or personal safety of
Compliseo, its users and the public.
36.ENTIRE AGREEMENT.
This Agreement is an electronic contract that sets out the legally binding terms of your use of the
Website and your relationship to the Service. This Agreement may be modified by Compliseo from
time to time, such modifications to be effective upon posting by Compliseo on the Website. This
Agreement includes Compliseo's Privacy Policy and Refund Policy, Compliseo's Create An
Account Page, and any notices regarding the Website. By accessing the Website you accept this
Agreement and agree to the terms, conditions and notices contained or referenced herein.
By accessing the Website you consent to have this Agreement provided to you in electronic form. In
order to access and retain this electronic Agreement, you must have access to the World Wide Web,
either directly or through devices that access web-based content, and pay any service fees
associated with such access. In addition, you must have all the equipment necessary to make such
connection to the World Wide Web, including a computer and modem or other access device. Please
print a copy of this document for your records. To retain an electronic copy of this Agreement, you
may save it to into any word processing program.
You agree that, except as otherwise expressly provided in this Agreement, there shall be no third
party beneficiaries to this Agreement.
